Grndwerk

This License Agreement ("Agreement") is between Grndwerk ("Licensor", hello@grndwerk.com) and the individual or entity that has purchased access to the Grndwerk Kit ("Licensee", "you"). By purchasing or accessing the Grndwerk Kit you agree to be bound by this Agreement.

1. Grant of License

Subject to the terms of this Agreement, Licensor grants you a perpetual, worldwide, non-exclusive, non-transferable license to use the Grndwerk Kit source files ("the Kit") as follows:

Unlimited projects. You may copy the Kit's source files into any number of projects — including commercial projects and projects built for clients.
Client work. You may deliver projects containing the Kit's code to clients as part of a finished product. One purchase covers all your projects.
Modification. You may modify the source files for your own use and for client projects.

2. Restrictions

You may not:

Resell, sublicense, or redistribute the Kit — or any substantially similar derivative of it — as a standalone product, boilerplate, template, or starter kit.
Share private repository access credentials with individuals who have not purchased a license.
Remove, alter, or obscure any copyright or attribution notices within the source files.
Claim authorship of the Kit itself.

3. Delivery

The Kit is delivered as access to a private GitHub repository. You receive the source files directly — there is no npm package, no dependency to manage, and no lock-in. Files copy into your project in the same manner as shadcn/ui components.

4. Intellectual Property

Licensor retains all ownership and intellectual property rights in the Kit. This Agreement grants you a license to use the Kit; it does not transfer any ownership to you.

5. Updates

Access to future updates is included with your purchase for as long as the Kit is actively maintained. Updates are delivered via the same private repository. Licensor makes no commitment to a specific update schedule or to maintaining the Kit indefinitely.

6. Warranty Disclaimer

THE KIT IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. LICENSOR DOES NOT WARRANT THAT THE KIT WILL MEET YOUR REQUIREMENTS OR THAT ITS OPERATION WILL BE UNINTERRUPTED OR ERROR-FREE.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LICENSOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF YOUR USE OF OR INABILITY TO USE THE KIT, EVEN IF LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. LICENSOR'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE KIT.

8. Termination

This license terminates automatically if you breach any term of this Agreement. Upon termination you must cease use of the Kit and destroy all copies in your possession. Licensor reserves the right to terminate this license at its sole discretion.

9. Entire Agreement

This Agreement constitutes the entire agreement between you and Licensor regarding the Kit and supersedes all prior understandings, whether written or oral.
